Zopi Fulfillment Service Terms of Service
These terms and conditions apply to the new Fulfill by Zopi feature, which is designed to seamlessly connect you with trusted suppliers and automate the order placement process.
As a user of Zopi, you are responsible for the products and services you source, purchase, and resell through our platform. Zopi acts solely as a sales agent between you (the merchant) and the suppliers, facilitating transactions and providing support services but does not assume responsibility for any products or their related compliance requirements. Zopi does not handle product clearance, tax payments, or matters related to the intellectual property of the products you choose to sell.
You must provide accurate business information, such as public-facing contact details, return policies, and order fulfillment timelines on your store, ensuring clarity for all parties involved. All contracts of sale created through Zopi are direct agreements between you and your suppliers. You are the buyer of record for all items you purchase through Zopi’s services and are responsible for the correct and lawful use of these products, including complying with all applicable local, national, and international laws and regulations regarding product import, consumer protection, and regulatory compliance.
You are also responsible for ensuring that the products and services you acquire meet any quality, safety, or legal standards required in the regions where you operate. You must conduct your own due diligence regarding product specifications, costs, taxes, and any relevant restrictions or requirements.
Zopi requires a valid payment method on file to facilitate transactions with suppliers. Payments will be processed based on the agreed-upon billing cycle or transaction volume. By using Zopi, you agree to allow us to process the payment between you and the suppliers. If payment issues arise, Zopi may attempt additional charges using your authorized payment methods or may suspend services until any outstanding amounts are resolved.
All payments to Zopi are non-refundable, and you are responsible for any applicable taxes or fee related to your transactions and operations. While Zopi facilitates the transfer of funds between you and the suppliers, you must ensure compliance with any required tax reporting or self-remittance to your jurisdiction’s authorities. Zopi does not manage or provide refunds for your end-customers, as Zopi is not the seller of record for any goods or services.
Zopi may adjust fees and commission rates with prior notice, and continued use of the services after such changes constitutes acceptance of the new terms. All fees are exclusive of applicable taxes unless stated otherwise.
For orders to Brazil, please be aware that according to local regulations (DDU mode), buyers are required to pay additional customs fees upon receipt, calculated as: order amount x 30% x 30%.
Zopi maintains full ownership over its platform’s trademarks, branding, software, and other intellectual property assets. Using Zopi does not grant you any rights to this intellectual property except as explicitly outlined in these terms.
You retain ownership of any content or materials you upload to Zopi, and Zopi does not claim ownership of these materials. However, by submitting content on our platform, you grant Zopi a non-exclusive, royalty-free, worldwide license to use, display, and distribute your materials as necessary to operate and improve the platform. This license will remain in effect as long as your materials are accessible on the platform. You are responsible for ensuring you have the right to grant these permissions and that your content does not infringe third-party rights.
You agree that Zopi may use your business name, logos, and trademarks associated with your store for purposes related to promoting and operating the platform. This license will continue only as needed to fulfill obligations related to actions taken during your term of service.
You may not use Zopi’s trademarks, logos, or branding without prior written authorization. Zopi’s intellectual property rights are protected, and you agree not to use, register, or adopt any terms or identifiers that are similar to Zopi’s trademarks or branding. Additionally, this agreement does not grant you any rights to Zopi’s proprietary technology or patents.
Zopi is committed to supporting the interests of merchants by ensuring suppliers selling on Zopi meet their obligations regarding the quality and fulfillment of orders. If an issue arises with the order—whether during processing, packaging or in response to a buyer’s complaint—Zopi will require the supplier to issue a full refund to the merchant for the affected transaction. Zopi’s role includes mediating disputes to ensure fair resolution and to protect the merchant’s interests.
In the event of supplier-related failures or disputes, Zopi will take all reasonable steps to facilitate a satisfactory resolution for merchants, including arranging refunds or replacements where necessary. While Zopi acts as a sales intermediary and is not responsible for product fulfillment or compliance, Zopi will enforce supplier accountability to ensure merchants receive fair and equitable support for any issues that may arise.
